Bochum, May 11, 2020 – Software investor Main Capital Partners and Bochum-based GBTEC AG, software and consulting specialist for digital transformation, announce the 100% acquisition of Vienna-based GRC software provider avedos. With this acquisition Main Capital successfully supports GBTEC in its international buy-and-build strategy and paves the way for GBTEC to become one of Europe’s leading providers in the area of governance, risk and compliance with now more than 170 employees.

The founder, current shareholder and CEO of GBTEC Software + Consulting AG, Gregor Greinke, and Samuel Brandstätter, founder and CEO of avedos GRC GmbH, officially announce the 100% acquisition of avedos by GBTEC as of May 11, 2020. With this acquisition, GBTEC, software specialist for digital transformation and business process management (BPM), significantly expands its software offering and services in the area of Governance, Risk and Compliance (GRC). In the course of the acquisition, Brandstätter also acquires a million-dollar stake in the GBTEC Group underlining his continued commitment to avedos and his conviction of a promising future of a combined group.

avedos has established itself as one of the leading providers of GRC software in Europe. Major national companies as well as international corporations, including well-known brands such as Deka, T-Systems, RWE, Henkel and MAN rely on avedos and its products. With the acquisition of avedos GBTEC can leverage a powerful and comprehensive GRC platform including Enterprise Risk Management and IT Security. With this extension of the product range the GBTEC group offers its customers tailor-made solutions for all essential use cases of GRC management. The aim is to overcome the borders between business process management and GRC management by fully integrating the solutions in the long run. Going forward, GBTEC also wants to integrate revolutionary key technologies such as Robotic Process Automation (RPA), artificial intelligence and process mining into its GRC software and thus create new, digital success models for GRC management. Together with Main Capital Partners, the software investor behind GBTEC, future growth will be driven by organic initiatives as well as other inorganic opportunities in the area of these key technologies.

Greinke explains: “With the acquisition of avedos we are further expanding our strategic position for process and risk management. Nearly all compliance and risk management providers are becoming increasingly process-oriented. This development supports the rationale for our acquisition and brings an enormous added value for our customers. As one of the European market leaders for risk management and GRC, avedos has excellent references, an outstanding reputation and a great team. The combination of process technologies and GRC know-how of both companies creates a gamechanger with which we are able to offer our customers an excellent service.”

Brandstätter says about the acquisition: “With the integration into GBTEC, we are creating the basis for further long-term growth, in a group of companies focused on business software. This enables us to develop innovative GRC use cases that significantly increase the value contribution in companies. The unified view of GRC information – from governance to operational processes, overcoming data silos and integrating new technologies such as artificial intelligence or process mining – enables completely new approaches to GRC. The digitalization of GRC processes and the expansion of the GRC maturity level are on the agenda of innovative companies today more than ever before.”

Sven van Berge Henegouwen, Partner at Main Capital Partners, adds: “We are very pleased to welcome avedos to the GBTEC Group. The strategic combination with avedos is a great starting point in our international buy-and-build strategy with the aim to turn GBTEC into the European market leader in BPM. The comprehensive and complimentary GRC solution of avedos adds further depth to GBTEC’s vertical offering and we are confident that we can quickly leverage the synergies in products and business models for the benefit of existing and new customers. “
